PAYEMM TERMS AND CONDITIONS

Effective Date: May 1, 2026

This is an agreement between Payemm Limited and you the user of of the Platform to access the Services offered by Payemm. The Services will be provided to you on the condition that you accept and abide by these terms and conditions.

1. DEFINITIONS

In these Terms:

“Payemm”, “we”, “us”, or “our” means Payemm Limited, a company operating in Jamaica.

“User”, “you”, or “your” means any individual who accesses or uses the Payemm platform.

“Platform” means the Payemm mobile application and related services.

“Services” means access to goods and services made available through Payemm, including but not limited to gift cards, bill payments, and mobile top-ups.

“PayBucks” means the internal spending access assigned to a user for the purpose of making Transactions through the Platform.

“Prento” means a controlled-access entry tier designed for users building repayment history.

“Freemium” means the standard entry tier with upgrade eligibility.

“MIRP” means Merchant Initiated Recurring Payments.

“Transaction” means any purchase of goods or services through the Platform.

“Fees” means any charges applied by Payemm for transactions, processing, services, or platform usage.

“Repayment” means the obligation to pay amounts due under a Transaction in accordance with the agreed schedule.

“Installment Plan” means the structured payment arrangement under which a Transaction is paid in multiple scheduled payments over time.

“Deferred Payment” means the ability for a User to access goods or services immediately and fulfill payment obligations at a later date under Installment Plan.

“Payment Method” means any debit card, credit card, bank account direct debit or otherpproved payment instrument linked to your account.

“Account Status” means the operational state of a user account, including Active, Paused, Suspended, or Restricted.

“Total Repayment Amount” means the total amount payable by the User for a Transaction, including the purchase amount and all applicable Fees.

“Payment Schedule” means the schedule of installment payments, including due dates and amounts, presented to the User prior to confirming a Transaction.

“Late Fee” means a fixed charge applied when a scheduled payment is not completed within the applicable timeframe.

“Complaint” means any expression of dissatisfaction made by a User in relation to the Services, Transactions, Fees, or account handling.

2. ELIGIBILITY & ACCEPTANCE OF TERMS

To use Payemm, you must declare that:

a) c) You are eighteen (18) years old or older;
b) You are a resident of Jamaica;
c) You have provided and will continue to provide to Payemm accurate, current, and complete information; and
d) you agree to be bound by these Terms and Conditions

By creating an account, accessing the Platform, or completing a Transaction, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not use the Platform.

Payemm reserves the right to approve, restrict, or refuse access to the Platform where necessary for legal, regulatory, risk, or operational reasons.

Eligibility must be maintained at all times. Payemm may suspend or restrict accounts where eligibility requirements are no longer met.

3. NATURE OF SERVICES

Payemm provides access to goods and services, including digital products such as gift cards, bill payments, and mobile top-ups.

Payemm may procure, purchase, or source these goods and services directly or through third-party providers and makes them available to users for immediate use.

Payemm does not provide cash loans or direct cash advances. Users cannot withdraw funds, transfer value, or convert transactions into cash equivalents.

Any deferred payment arrangement is provided solely in connection with the purchase of specific goods or services through the Platform and is not offered as a standalone financial product, revolving credit facility, or general-purpose line of credit.

Users cannot access cash, withdraw funds, transfer value, or use the Platform for general spending outside of the goods and services made available through Payemm.

Upon confirming that the user of the Platform or Services would like to proceed with a Transaction the user becomes liable to pay Payemm for the Services in the amount of the fee accepted regardless of whether the user receives the benefit of the Services after confirmation.

3A. REGULATORY POSITIONING

Payemm is a platform that facilitates access to goods and services through digital commerce and structured payment arrangements.

Payemm operates within a model that combines elements of e-commerce, payment processing, and retail installment-style access to goods and services.

Payemm does not provide general-purpose financing, open credit facilities, or cash-based lending.

All payment arrangements are transaction-specific and arise solely from the purchase of goods or services made available through the Platform.

4. ACCOUNT REGISTRATION & VERIFICATION

To use Payemm, you must:

  • create an account using your personal information
  • verify your email and phone number
  • provide identity verification documentation (KYC)
  • provide any other documentation reasonably required by Payemm
  • accept these Terms and Conditions


You acknowledge that:

  • your Tax Registration Number (TRN) is used as your unique identifier
  • only one account per individual is permittedPayemm may request additional information at any time for verification, compliance, or risk management purposes.


Failure to provide requested information may result in account restriction, account suspension, or termination of your access to the Platform or Services.

Payemm may suspend, close, or restrict accounts where information is inaccurate, incomplete, or suspicious.

5. TIER SYSTEM (NO DENIAL MODEL)

Payemm operates a tiered access system designed to manage user access and platform risk.

Users are not denied access but are assigned to an appropriate tier, including:

  • Prento: a controlled-access tier for users building repayment history
  • Freemium: a standard access tier with eligibility for expanded usage


Tier assignment is determined based on internal assessment criteria, including user activity, verification status, and repayment behavior.

Payemm reserves the right to assign, modify, or restrict tiers at any time based on risk, compliance, or operational considerations.

Tier assignment does not constitute approval, denial, or issuance of a loan or credit facility.

Payemm may introduce additional plans, tiers, or subscription packages that provide different levels of access, features, or benefits. Details of such plans, including pricing and limits, will be made available within the Platform or through notification to you.

Access to any additional plans or features is subject to eligibility criteria, internal assessment, and Payemm’s discretion.

6. TRANSACTIONS & SERVICE DELIVERY

All Transactions are for the purchase of goods and services made available through the Platform.

By confirming a Transaction, you:

  • authorize Payemm to process the Transaction
  • acknowledge that the Transaction is final once confirmed (subject to applicable exceptions)
  • accept all applicable Fees and repayment obligations


Payemm will present a clear summary of the Transaction prior to confirmation, including the Total Repayment Amount and Payment Schedule.

Delivery is considered complete when the purchased goods or services are successfully transmitted to your verified contact details.

Payemm will make reasonable efforts to ensure accurate and timely completion of all Transactions.

Where a service delivery issue occurs, Payemm will investigate and take appropriate action, within a commercially reasonable time. Actions undertaken may include re-delivery, correction, or other reasonable remedies. Where an issue occurs you are required to report the issue to Payemm so that an investigation can be conducted into the issue to ascertain the cause and appropriate response. You will not be entitled to a remedy if you have not reported an issue with your Transaction.

6A. TRANSACTION DISCLOSURE & USER CONFIRMATION

Before confirming any Transaction, Payemm will present a clear summary of:

  • Purchase Amount
  • Applicable Fees
  • Total Repayment Amount
  • Payment Schedule, including installment amounts and due dates


Users must review and confirm this information to be correct prior to completing a Transaction.

By confirming a Transaction, you acknowledge that:

  • you understand the total amount payable
  • you agree to the Payment Schedule
  • you are entering into a binding payment obligation


This disclosure is intended to ensure transparency and informed decision-making.

7. PAYMENT METHODS & AUTHORIZATION

You must provide and maintain a valid Payment Method to use Payemm.

By adding a Payment Method, you authorize Payemm to initiate payments to your selected Payment Method, including Merchant Initiated Recurring Payments (MIRP), for:

  • installment repayments
  • transaction fees
  • subscription fees
  • appeal fees
  • any other applicable charges


Payemm will only process payments in accordance with the Payment Schedule or as otherwise authorized by you under these Terms.

You hereby authorize Payemm to automatically charge your Payment Method for amounts due under any Installment Plan confirmed by you on or after the scheduled due dates or for subscription fees applicable to your user tier.

Payemm shall be allowed to perform a temporary authorization on your Payment Method to verify its validity and enable secure tokenization. This authorization is not a charge and will be reversed by your financial institution.

Users may update or change their Payment Method at any time.

You are responsible for ensuring that your Payment Method remains valid and has sufficient funds available to meet your repayment obligations.

8. FEES & CHARGES

Payemm charges Fees in connection with Transactions and use of the Platform.

Fees consist of a fixed and variable component and reflect:

  • payment processing costs, including merchant discount rates
  • third-party vendor and API costs
  • operational and staffing costs
  • infrastructure and technology costs
  • fraud prevention and risk management
  • general business overhead and margin


Fees are applied at the time of Transaction and are fixed at the point of purchase. Fees are not calculated based on the duration of repayment and do not increase over time.

All applicable Fees are clearly displayed within the Platform prior to confirming a Transaction.

The User will always be presented with the Total Repayment Amount before entering into any obligation.

Payemm does not charge interest on Transactions.

9. REPAYMENT OBLIGATIONS

Each confirmed Transaction creates a binding obligation to repay the Total Repayment Amount in accordance with the applicable Payment Schedule.

You agree to:

  • repay all amounts in full
  • adhere to the scheduled payment dates
  • maintain a valid Payment Method for automatic payments


Repayment obligations apply regardless of usage or satisfaction of the purchased goods or services, except where a verified service issue is identified and resolved by Payemm.

Payemm will make reasonable efforts to notify Users of upcoming payments through in-app notifications, SMS, or email.

Users are responsible for reviewing their Payment Schedule and ensuring that sufficient funds are available for scheduled payments.

10. GRACE PERIOD & ACCOUNT STATUS

If a scheduled payment is not successfully processed, Payemm may, at its sole discretion, allow the user ten (10) business days to make the overdue payment this will be known as the ’grace period’ . if Payemm chooses not to allow a grace period or if at the end of the grace period the required payment still has not been made then all sums owed to Payemm will immediately become due and payable and the user’s account will be suspended. And such further action, including legal suit, may be taken against you as Payemm may deem necessary.

Where a grace period applies:

  • Users may complete payment without additional penalties during that period
  • reminders and retry attempts may be initiated

Details of the grace period, including duration and conditions, will be communicated within the Platform.

If payment is not completed within the grace period:

  • your account may be moved to Suspended status
  • further Transactions may be restricted
  • additional actions may be taken in accordance with these Terms


Payemm will apply all account status changes in a manner that is reasonable, transparent, and consistent with applicable laws.

11. SUSPENSION & ACCOUNT ACTIONS

Payemm may suspend, restrict, or limit access to your account where:

  • repayment obligations are not met
  • payment attempts fail
  • risk, fraud, or compliance concerns arise


Where an account is suspended:

  • access to Services may be restricted or disabled
  • further Transactions may be blocked
  • outstanding balances remain payable in accordance with the Payment Schedule


Payemm may require repayment of outstanding balances where payments remain overdue, in accordance with applicable laws and reasonable collection practices.

Payemm will apply account restrictions and recovery actions in a manner that is proportionate, transparent, and consistent with applicable laws.

Debt Collection. Unpaid Subscription Fees and Transaction Fees are an obligation by you, the user, to Payemm. Any unpaid account balances may be sent or sold to an outside collection agency or financial institution and may be reported to one or more credit bureau reporting service(s). After internal collection efforts have failed to result in full payment, and collection fees of up to 50% of the unpaid balance will be assessed to your account, and you are responsible for paying these fees together with all costs and expenses, including reasonable attorney’s fees and court costs, necessary for the collection of your delinquent account. Requests for future use of the Platform or Services will be considered only if payments are current.

12. LATE FEES

Late fees may be applied where scheduled payments are not completed within the applicable timeframe.

Late fees are:

  • fixed and clearly disclosed
  • applied to cover administrative and operational costs
  • subject to reasonable limits


Payemm will ensure that late fees remain fair, proportionate, and compliant with applicable laws.

Users will be notified prior to the application of any late fees.

Late fees will not increase indefinitely and will be subject to caps determined by Payemm and communicated within the Platform.

13. APPEALS PROCESS

Users assigned to the Prento tier may request reassessment through the appeal process.

To submit an appeal:

  • a non-refundable fee of JMD $1,000 must be paid
  • all required information must be provided


The appeal fee is a processing fee intended to support the administrative review of submitted information.

Appeals are reviewed based on internal assessment criteria.

Submission of an appeal does not guarantee approval, upgrade, or any change in account status.

Payemm reserves the right to limit or restrict repeated or excessive appeal submissions where no new information is provided.

14. TRANSACTION FINALITY & RESOLUTION

All Transactions are generally final once confirmed.

However, where a Transaction fails due to:

  • system error
  • non-delivery
  • incorrect fulfillment
  • or any issue attributable to Payemm


Payemm will investigate and provide an appropriate resolution, which may include:

  • re-delivery
  • correction
  • or refund where necessary


Payemm will assess each case based on available transaction data and applicable circumstances.

Users are required to report any issues within a reasonable timeframe.

15. USER CONFIRMATION & RESPONSIBILITY

You acknowledge that all Transactions are initiated and authorized by you through the Platform.

By confirming a Transaction, you accept:

  • the Total Repayment Amount
  • the Payment Schedule
  • all applicable Fees and obligations


You are responsible for:

  • reviewing Transaction details before confirmation
  • ensuring accuracy of inputs (e.g. phone number, account details)
  • understanding the terms of the Transaction


Payemm is not responsible for errors resulting from incorrect information provided by the User at the time of Transaction.

16. CREDIT REPORTING

Payemm may report repayment behavior to credit bureaus or data agencies, such as EveryData Jamaica and other similar agencies.

Such reporting relates solely to obligations arising from Transactions involving the purchase of goods and services and does not constitute reporting of a standalone loan or credit facility.

17. FRAUD & MISUSE

Payemm may monitor activity to detect fraud, misuse, or suspicious behavior.

Payemm reserves the right to:

  • suspend or restrict accounts
  • decline Transactions
  • investigate activity


where fraud, misuse, or security risks are identified.

18. SERVICE AVAILABILITY

Payemm does not guarantee uninterrupted or error-free operation of the Platform.

Services may be affected by:

  • system maintenance
  • technical failures
  • third-party service disruptions


Payemm will make reasonable efforts to restore service where disruptions occur.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Payemm shall not be liable for:

  • indirect, incidental, or consequential damages
  • loss of profits, revenue, or opportunity
  • delays or failures caused by third-party providers


Nothing in these Terms excludes liability where such exclusion is not permitted by law.

19. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Payemm shall not be liable for:

  • indirect, incidental, or consequential damages
  • loss of profits, revenue, or opportunity
  • delays or failures caused by third-party providers


Nothing in these Terms excludes liability where such exclusion is not permitted by law.

20. TERMINATION

Payemm may suspend or terminate your account and this agreement for:

  • non-payment of any fees owed to Payemm
  • breach of these Terms and conditions
  • fraud or misuse
  • regulatory instructions or
  • failure to adhere to compliance requirements


Where appropriate, Payemm may provide notice prior to termination.

Termination does not affect outstanding obligations, which remain payable.

21. DATA USAGE

Payemm may collect, use, and share data as necessary to:

  • provide Services
  • process Transactions
  • manage risk and fraud
  • comply with legal obligations


All data handling will be conducted in accordance with Payemm’s Data Privacy Policy which is available for review on our website or upon request.

22. DISPUTE RESOLUTION

If you have a complaint or dispute, you must first contact Payemm through official support channels.

Payemm will make reasonable efforts to resolve disputes promptly.

If a dispute cannot be resolved, it shall be subject to the jurisdiction of the courts of Jamaica.

23. GOVERNING LAW

These Terms are governed by the laws of Jamaica.

24. AMENDMENTS & CONTACT

Payemm may update these Terms from time to time.

Where material changes are made, users will be notified.

Continued use of the Platform constitutes acceptance of the updated Terms and Conditions.
